Change of Place of the Company

Like the goldfish that will only grow to the size of its bowl, you should increase the size of your bowl. Change is real and it comes as the time passes on. All the business entities grow with the time. Some grow at faster pace, some at lower. With the increase in business size, scale of operation increases and entities strive to shift its office from one place to another to ensure smooth functioning of the activities and operations.

Shifting of Registered Office of Company within the district

If Company desires to shift its registered office from one place to another within the same city in India, a notice regarding change of the registered office along with the board resolution and a verification of the new registered office requires to be filed with the ROC in India within 15 days of such change in form INC-22.

Documents required to be filed with form INC-22:

• Copy of Board Resolution.
• Proof of Ownership of premises e.g: Copy of Utility Bill like electricity bill, Water tax receipt etc.
• Lease deed, if premises is rented or NOC if it owned by some other person.

• Shifting of Registered Office of Company from one district to another

If Company desires to shift its registered office from one city to another within the same state under the jurisdiction of same ROC, a notice regarding change of the registered office in India along with the copy of special resolution and a verification of the new registered office requires to be filed with the ROC within 15 days of each change in form INC-22.

Also a copy of special resolution is required to be filed to ROC in form MGT-14 within 30 days from the date of its approval.

Documents required to be filed with form INC-22:

• Copy of Special Resolution.

• Lease deed, if premises is rented or NOC if it owned by some other person.

Relevance of Registered office for companies:

• This is the place of reference for outsider as a connecting link.
• It is only the registered office which determines the jurisdiction of the Court for filing any case in India.
• Sometimes, it is important to know the place of registered office for various purpose like stamp duty payment for MOA & AOA, share certificates, debenture certificates etc.
• Inspection of various documents such as register, documents etc.
